Terms of Service
External contractors will be hired directly by the client, and the designer will fully cooperate.
The client will provide access to the site and existing documents. All approvals requested by the designer, such as drawings, purchase orders, and similar documents, must be signed by the client.
If the project is suspended for a period of 30 days, the designer may negotiate fees or terminate the contract. The client will compensate the designer for all completed services, including reimbursable expenses incurred before the suspension of work.
The contract may be terminated in writing at any time by both parties. If such notice is not given, this contract will automatically terminate 90 days after the effective date. In case of termination by the client, services performed and expenses incurred up to the termination date will be paid.
Design and technical documents are the property of the designer and cannot be reproduced or reused without the prior written consent of the designer.
The designer is an independent contractor and nothing will interpret them as an agent or employee of the client. Additionally, they are free to exercise their own judgment in the aspects of the services to be performed, including but not limited to the manner and means of achieving the requested results.
The contract: (1) replaces and cancels all previous agreements or communications, whether oral or written. (2) cannot be supplemented, modified, or amended in any way except with the written consent of both parties, and (3) will bind and benefit the successors, executors, heirs, representatives, administrators, and assigns of the parties.
The designer may photograph the project for records and commercial use, maintaining confidentiality regarding the location and name of the client. Additionally, if the client documents the project, the designer will be acknowledged as the designer of the project.
The designer assists in the selection of suppliers and/or subcontractors by preparing technical documents, handling requests for information (RFI), and actively participating in process coordination, but is not responsible for the quality of material/workmanship, delivery times, or third-party processes. The designer only monitors: specialized applications, samples related to colors, carpentry work, finish variations, etc.
NOTE: In some cases, the designer does not establish contractual agreements with trades or manages construction funds; instead, they coordinate project communication and supervise the work in progress.
Terms of Purchasing
ALG Creative LLC (Casal Studio) is a legal reseller with a valid seller’s permit in the state of California. Therefore, the Client acknowledges that the Designer may benefit from the resale of certain products and merchandise.
All Client purchases made through ‘Designer’ come with a % mark up procurement fee over MSRP. Sales tax, insurance, storage, shipping, and handling will be excluded from the procurement fee and charged separately.
Upon approval and after payment(s) have been made, the Designer will initiate purchases. The Designer agrees to manage the distribution of funds paid to the supplier/vendor, and the Client is responsible for any additional charges related to such purchases, such as taxes, shipping, storage, special deliveries, warranties, and installations.
The Client shall pay all costs involved in ‘white glove delivery’ and assembly of any furniture, art, or decor for resale to the Client. The Designer will handle the coordination of the said delivery and assembly purchased by the Designer, as well as any other items purchased on behalf of the Client.
When applicable, the Designer will present specifications to the Client so the Client can purchase directly from the supplier/vendor. The Client is entirely responsible for all items purchased by the Client. Clients are accountable for their personal orders and any potential discrepancies.
External Contracts: If the Client acquires materials, services, or items beyond Designer specifications, the Designer isn’t responsible for their quality or aspects. The Designer isn’t liable for external Client contracts with contractors, suppliers, manufacturers, or vendors, even if the Designer recommended them.
Warranties and Cancellations: The Client will have the benefit of all warranties available against any manufacturer. In the event that the Client cancels, returns, or exchanges purchased items, a restocking fee of 25% will apply to the value of the item, as well as any additional charges related such as storage, shipping, and handling fees.
The content in ‘Designer’ proposal remains valid for 30 days. Client-approved estimates are legally binding for the Designer and the Client from signature date. Any changes and/or revisions to the estimate after the 30-day validity period will be billed as additional services.
